Welcome to Dia. These Terms of Service ("Terms") govern your access to and use of the Dia digital assistant service, including any associated websites, applications, and content (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Changes to Terms
We may modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.
3. Eligibility

5. Service Description
Dia is a voice- and text-based AI assistant designed to help users manage communication, organize their day, and enhance productivity. The Service may include features such as email management, calendar scheduling, task reminders, and other productivity tools.
6. User Content
You retain ownership of any content you submit, post, or display through the Service ("User Content"). By providing User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, and publicly perform your User Content for the purposes of operating and providing the Service.
You represent and warrant that you have all rights necessary to grant the licenses above and that your User Content does not violate any third-party rights or applicable laws.
7. Prohibited Conduct
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Violate or infringe other people's intellectual property, privacy, or other rights
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any part of the Service
- Use the Service to transmit viruses, malware, or other harmful code
- Engage in automated use of the system, such as using scripts to send messages
- Impersonate any person or entity or falsely state or misrepresent your affiliation
- Collect or store personal data about other users without their consent
8. Intellectual Property Rights
The Service and its original content, features, and functionality are owned by Dia and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material obtained through the Service without our prior written consent.

The Service may contain links to third-party websites or services that are not owned or controlled by Dia. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Dia shall not be responsible or liable for any damage or loss caused by or in connection with the use of any such third-party websites or services.
10. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
12. Limitation of Liability
IN NO EVENT SHALL Dia, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
13. Indemnification
You agree to defend, indemnify, and hold harmless Dia and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
